2. What are the conditions for delegating authority?

Delegation of authority is governed by case law: the conditions of validity are therefore determined by court decisions, not by statute.

2.1 Who can delegate?

Delegation of authority can only be granted if your company is of a certain size.

This is justified by the fact that it is impossible for you personally to ensure effective supervision of all the company's activities.

In practice, the size of a company is assessed on a case-by-case basis by judges, and case law decisions refer to the "importance of the company", without citing a threshold above which a company is considered to be large.
