4. Conclusion

In conclusion, careful drafting of international contracts is part of a preventive approach to risk minimization and facilitates the international expansion of companies. The above examples of clause drafting are fragmentary and incomplete, and are given by way of example only, to ensure that the reader understands that, while a clause may be legal, its content, where necessary, must be extremely precise and technical, and should not be left to legal experts alone. It is the care taken in drafting a clause that will, if necessary, limit problems and the seller's liability, or at least provide a procedure to follow in the event of difficulties, so as to avoid having to resort to the courts or arbitration.
